Membership Agreement
Effective October 12, 2026
This Developer Network Membership Agreement (the “Agreement”) is entered into between Developer Network LLC, an Idaho limited liability company doing business as Developer Network (“Developer Network,” “Company,” “we,” “us,” or “our”), and the individual accepting this Agreement (“Member,” “you,” or “your”).
By checking the box indicating your acceptance of this Agreement, creating a paid membership, or otherwise enrolling in Developer Network, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. Developer Network
Developer Network is a professional membership network designed to provide eligible software developers with access to professional resources and opportunities to request compensated project work through the network.
Project work offered through Developer Network is work on Developer Network's own products and systems, including its mobile applications, websites, backend services, and infrastructure. Project work is provided by Developer Network and does not come from third-party clients.
Developer Network is not an employer, staffing agency guaranteeing placement, unemployment insurance program, income replacement program, savings account, investment product, or insurance product.
Membership does not guarantee employment, a project, any particular amount of work, or any particular amount of compensation.
2. Eligibility
To become and remain a Member, you must:
- be at least 18 years old;
- reside in a jurisdiction in which Developer Network offers membership;
- provide accurate and complete account information;
- maintain an active paid membership;
- satisfy any identity, professional-experience, tax, or other verification requirements reasonably required by Developer Network; and
- comply with this Agreement and all applicable Developer Network policies.
Developer Network may approve, reject, suspend, or terminate a membership when reasonably necessary to protect the network, comply with applicable law, prevent fraud or abuse, or enforce this Agreement.
3. Membership Fee
The standard membership fee is $149 per month, unless another price is clearly disclosed to you before enrollment.
Membership fees are charged monthly in advance to the payment method associated with your account.
Automatic Renewal
Your membership automatically renews each month until canceled.
By enrolling, you expressly authorize Developer Network and its payment processor to charge your selected payment method the applicable membership fee, plus any applicable taxes, on a recurring monthly basis until you cancel.
The amount and billing frequency applicable to your membership will be displayed during checkout before you authorize payment.
4. Cancellation
You may cancel your membership at any time through the membership management area of your Developer Network account or through another cancellation method made available by Developer Network.
Cancellation stops future recurring membership charges.
Unless otherwise required by applicable law:
- cancellation does not result in a refund or prorated refund of membership fees already paid;
- your membership remains active through the end of your current paid billing period; and
- no additional membership fee will be charged after cancellation becomes effective.
Developer Network will not require you to purchase additional services or speak with a salesperson as a condition of cancellation.
5. Membership Fees Are Not Deposits
Membership fees are payments for participation in and access to Developer Network.
Membership fees are not:
- deposits;
- savings;
- escrowed funds;
- insurance premiums;
- investments;
- contributions to an individual account;
- amounts held for your future benefit; or
- funds that you own or may withdraw later.
Developer Network does not maintain an individual financial balance on your behalf based on your membership payments.
Project compensation, if any, is compensation for actual project work performed and is not a refund, withdrawal, repayment, reimbursement, or return of membership fees.
6. Project Access Credits
Active Members may earn Project Access Credits based on membership tenure.
Unless Developer Network clearly discloses different terms before enrollment:
One Project Access Credit is earned after each three (3) completed paid months of membership.
A Member may hold no more than twelve (12) Project Access Credits at one time.
Referral Credits
An active Member may also earn Project Access Credits by referring new Members through the Member's personal referral link.
One Project Access Credit is earned for each referred individual who enrolls using the Member's referral link and then completes three (3) paid months of membership. The referred individual must be enrolling in Developer Network for the first time.
Referral credits are Project Access Credits for all purposes of this Agreement. They count toward the twelve (12) credit maximum, are subject to the Waiting Period, and have no cash value.
A Member may not refer themselves, enroll another person without that person's knowledge and consent, or obtain referral credits through duplicate accounts, false identities, or other misleading conduct. Developer Network may withhold or cancel referral credits obtained in violation of this Agreement.
Credit Maximum
A Member who holds twelve (12) Project Access Credits does not earn additional credits from membership tenure or referrals. Credits that would otherwise be earned while the Member holds twelve (12) credits are not earned, banked, or carried forward.
After a credit is used and the Member holds fewer than twelve (12) credits, the Member resumes earning credits on the next scheduled date: the next date on which the Member completes a three (3) month earning period (credits from tenure are scheduled at every third completed paid month), or the date a referred individual completes three (3) paid months.
Waiting Period
Project Access Credits may not be used to request a project until the Member has completed six (6) paid months of membership (the “Waiting Period”). Credits earned during the Waiting Period remain available for use after the Waiting Period ends.
A Project Access Credit provides the Member with an opportunity to request consideration for one project opportunity through Developer Network, subject to this Agreement.
A Project Access Credit:
- has no cash value;
- cannot be sold, transferred, assigned, gifted, or exchanged for money;
- does not represent money held on the Member's behalf;
- does not guarantee that a project will be available;
- does not guarantee acceptance for a project;
- does not guarantee any minimum number of project hours;
- does not guarantee any particular compensation;
- does not represent unemployment or income-replacement benefits; and
- is not earned compensation.
Developer Network may display credits within a Member's account for convenience.
7. Requesting a Project
An eligible Member who has completed the Waiting Period and has an available Project Access Credit may submit a request for project work.
Submitting a request does not guarantee that Developer Network will have a suitable project available.
Project opportunities depend on factors including, without limitation:
- available Developer Network project work;
- Member skills and experience;
- project requirements;
- network demand;
- the number of Members currently requesting projects;
- budget available for particular projects;
- project timelines;
- geographic or legal restrictions;
- Member availability; and
- other legitimate operational considerations.
Developer Network may prioritize, delay, decline, or otherwise manage project requests as reasonably necessary to operate the network.
8. No Guaranteed Project or Compensation
MEMBERSHIP DOES NOT GUARANTEE THAT YOU WILL RECEIVE A PROJECT, WORK, EMPLOYMENT, INCOME, OR ANY PARTICULAR AMOUNT OF COMPENSATION.
The amount paid for an available project may vary substantially.
Developer Network may consider project scope, required skills, estimated hours, project budget, network capacity, available resources, and other factors when determining project compensation.
The amount offered for a project may be greater or less than amounts offered for previous projects or projects offered to other Members.
A Member will be informed of the applicable project terms and compensation before being required to accept the project.
You are under no obligation to accept a project offered to you.
9. Separate Project Agreement
Before beginning compensated project work, a Member may be required to accept a separate project agreement, statement of work, independent contractor agreement, or similar terms (“Project Agreement”).
The Project Agreement may specify:
- project scope;
- deliverables;
- deadlines;
- estimated or maximum hours;
- compensation;
- payment schedule;
- confidentiality requirements;
- intellectual-property ownership;
- product requirements;
- security requirements;
- communication expectations; and
- acceptance criteria.
If a Project Agreement conflicts with this Agreement regarding a particular project, the Project Agreement controls with respect to that project.
10. Use of a Project Access Credit
Unless otherwise stated in the applicable Project Agreement, a Project Access Credit is considered used once the Member accepts a project offered through the credit.
A declined project offer will not ordinarily consume the Member's credit unless the project request or applicable terms clearly state otherwise before the Member accepts the project.
Developer Network may establish reasonable rules preventing repetitive requests, strategic acceptance and cancellation, project abandonment, or other conduct that interferes with fair allocation of network opportunities.
11. Credit Status After Cancellation
If your membership is canceled or terminated, you will no longer be eligible to submit new project requests through your membership after your current paid membership period ends.
Unused Project Access Credits earned before cancellation will be frozen when the membership becomes inactive.
Frozen Project Access Credits:
- retain no cash value;
- may not be redeemed for money or refunds;
- may not be used while the membership is inactive; and
- may be restored if the Member reactivates membership within twelve (12) months after the membership became inactive.
If the Member does not reactivate membership within twelve (12) months after the membership becomes inactive, all unused Project Access Credits will expire.
Once expired, Project Access Credits will not be restored upon later reactivation unless Developer Network expressly agrees otherwise.
If a membership is terminated by Developer Network because of fraud, abuse, material breach of this Agreement, or other serious misconduct, Developer Network may immediately cancel unused Project Access Credits to the extent permitted by law.
12. Maintaining Membership
Developer Network may require an active membership at both the time a project is requested and the time a project is accepted.
If a Member cancels while actively performing an already-accepted project, cancellation of the membership does not eliminate compensation properly earned under the applicable Project Agreement.
13. Independent Contractor Relationship for Projects
Unless expressly agreed otherwise in writing, Members performing projects through Developer Network do so as independent contractors and not as employees of Developer Network.
Nothing about membership itself creates an employment relationship.
For project work performed as an independent contractor, the Member is responsible for all applicable federal, state, and local taxes and for maintaining any licenses, insurance, registrations, or other requirements applicable to the Member.
Developer Network may issue applicable tax reporting documents as required by law.
Nothing in this Agreement prevents Developer Network from structuring a particular project differently when required by law or agreed to in writing.
14. Member Responsibilities
You agree to:
- provide truthful information;
- keep your account information current;
- protect your account credentials;
- timely complete projects you accept;
- perform accepted projects professionally;
- comply with applicable Project Agreements;
- protect confidential Developer Network information;
- promptly disclose changes that affect your eligibility;
- avoid fraudulent or manipulative use of the program; and
- cooperate with reasonable eligibility and fraud-prevention reviews.
You may not create multiple accounts or otherwise attempt to obtain additional credits or project opportunities through false identities, duplicate accounts, or misleading information.
15. Verification and Fraud Prevention
Developer Network may verify information relevant to membership or project eligibility.
Providing materially false information may result in suspension or termination of membership, cancellation of pending project requests, forfeiture of unused credits, and any other remedies available under applicable law.
If Developer Network discovers that compensation was obtained through intentional fraud or material misrepresentation, Developer Network may seek repayment to the extent permitted by law.
16. No Insurance or Income Guarantee
Developer Network is a professional membership and project-access network.
Developer Network is not unemployment insurance, disability insurance, wage insurance, income-loss insurance, or any other form of insurance.
Membership fees do not purchase a contractual right to receive a financial payment following unemployment or any other life event.
A Project Access Credit provides only the right to request consideration for actual project work.
Any compensation paid to a Member is compensation for work actually performed pursuant to an accepted project and applicable Project Agreement.
Developer Network does not guarantee replacement of any percentage of a Member's income, salary, wages, or benefits.
Marketing statements, examples, calculators, projections, or illustrations concerning possible project compensation are estimates or examples only unless Developer Network expressly states otherwise in a written Project Agreement.
17. No Employment Placement Guarantee
Developer Network does not guarantee employment or placement with Developer Network or any third party.
Developer Network may provide networking resources, introductions, professional resources, project opportunities, or other membership services, but membership does not create a promise that a Member will obtain employment.
18. Changes to Membership Pricing
Developer Network may change membership pricing prospectively.
If the price of your recurring membership increases, Developer Network will provide notice as required by applicable law before charging the new price.
You may cancel your membership before the new price becomes effective.
Continued membership after the effective date of a properly disclosed price change constitutes acceptance of the new price to the extent permitted by applicable law.
19. Changes to Program Features
Developer Network is an evolving service.
Developer Network may reasonably modify operational features of the membership program, including project-request procedures, verification requirements, project allocation procedures, platform features, and credit-administration rules.
Developer Network will not retroactively convert earned Project Access Credits into a debt owed by a Member or charge additional membership fees without the Member's authorization.
If Developer Network makes a material change that significantly affects a Member's existing rights, Developer Network will provide reasonable notice before the change becomes effective when required by law.
20. Payment Failures
If a recurring payment cannot be processed, Developer Network may attempt to process the payment again and may suspend membership until payment is successfully completed.
Time during which membership is unpaid or suspended does not count toward the paid-month requirement for earning Project Access Credits unless Developer Network determines otherwise.
Developer Network may provide a reasonable grace period for failed payments.
21. Refunds
Except where required by law or expressly stated otherwise in writing, membership payments are non-refundable once charged.
This includes periods in which a Member does not request or receive a project.
Membership fees compensate Developer Network for providing ongoing membership, network access, infrastructure, administration, opportunity access, and other membership services and do not constitute payment for a guaranteed future project.
Nothing in this section limits any refund rights that cannot legally be waived.
22. Intellectual Property
Developer Network and its licensors retain all rights in the Developer Network website, applications, branding, software, documentation, content, systems, processes, and other intellectual property owned by Developer Network.
Membership does not grant a Member ownership of Developer Network intellectual property.
Ownership of intellectual property created in connection with individual projects will be governed by the applicable Project Agreement.
23. Confidentiality
Members may receive non-public information regarding Developer Network, its projects, technology, business operations, or other Members.
Members agree not to disclose or misuse confidential information and to comply with any additional confidentiality requirements contained in a Project Agreement.
This obligation survives termination of membership.
24. Privacy
Developer Network's collection and use of personal information is governed by the Developer Network Privacy Policy.
By using Developer Network, you acknowledge the Privacy Policy.
The Privacy Policy is incorporated by reference to the extent permitted by applicable law.
25. Third-Party Services
Developer Network may use third-party services for payment processing, communications, identity verification, project management, video communication, hosting, authentication, or other functions.
Developer Network is not responsible for interruptions or failures caused solely by third-party services outside Developer Network's reasonable control.
Your use of third-party services may also be subject to their applicable terms.
26. Suspension and Termination
Developer Network may suspend or terminate a membership for material violations of this Agreement, fraud, abuse, unlawful activity, nonpayment, threats to network security, serious project misconduct, or other substantial conduct harmful to Developer Network or its Members.
When reasonably possible, Developer Network may provide notice and an opportunity to address a violation before termination.
Developer Network may terminate the membership program generally upon reasonable notice.
Termination does not eliminate payment obligations already earned by a Member for project work properly completed under a Project Agreement.
27. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVELOPER NETWORK AND ITS SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
DEVELOPER NETWORK MAKES NO WARRANTY THAT:
- PROJECTS WILL BE AVAILABLE;
- A MEMBER WILL BE SELECTED FOR A PROJECT;
- ANY PARTICULAR LEVEL OF COMPENSATION WILL BE AVAILABLE;
- MEMBERSHIP WILL REPLACE LOST EMPLOYMENT INCOME;
- THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; OR
- MEMBERSHIP WILL RESULT IN EMPLOYMENT OR ANY PARTICULAR FINANCIAL OUTCOME.
Nothing in this Agreement excludes warranties or rights that cannot legally be excluded.
28. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEVELOPER NETWORK'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO MEMBERSHIP SHALL NOT EXCEED THE GREATER OF:
- THE MEMBERSHIP FEES ACTUALLY PAID BY THE MEMBER TO DEVELOPER NETWORK DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- $500.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVELOPER NETWORK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST WAGES, LOST EMPLOYMENT OPPORTUNITIES, OR LOST BUSINESS OPPORTUNITIES.
These limitations do not apply where prohibited by law.
29. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Developer Network and its officers, employees, contractors, and affiliates from third-party claims arising from your:
- intentional misconduct;
- violation of law;
- infringement of third-party intellectual-property rights;
- material breach of a Project Agreement; or
- fraudulent or materially misleading information.
This section does not require you to indemnify Developer Network for Developer Network's own unlawful conduct.
30. Electronic Communications
You consent to receive agreements, disclosures, notices, receipts, membership communications, and other records electronically.
You are responsible for maintaining a valid email address associated with your account.
Transactional and legally required communications are separate from optional marketing communications.
31. Dispute Resolution
Before filing a formal legal claim, you and Developer Network agree to attempt in good faith to resolve the dispute informally.
A party initiating a dispute should provide written notice describing the dispute and requested resolution. The parties will have at least thirty (30) days after receipt of the notice to attempt resolution.
Nothing in this section prevents either party from bringing an eligible action in small claims court.
Arbitration
Except for claims eligible for small claims court or claims for which arbitration cannot legally be required, disputes arising from or relating to this Agreement or Developer Network membership will be resolved through binding individual arbitration administered by the American Arbitration Association under the applicable AAA rules.
Arbitration will occur on an individual basis.
YOU AND DEVELOPER NETWORK WAIVE THE RIGHT TO HAVE COVERED DISPUTES DECIDED BY A JUDGE OR JURY.
Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND DEVELOPER NETWORK AGREE THAT COVERED CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
If applicable law prevents enforcement of this provision as to a particular claim or remedy, that portion of the dispute will be handled as required by law.
32. Governing Law
This Agreement is governed by the laws of the State of Idaho, without regard to its conflict-of-law rules, except to the extent federal law applies or the law of another jurisdiction cannot validly be waived.
33. Assignment
You may not transfer your membership, account, or Project Access Credits to another person without Developer Network's written permission.
Developer Network may assign this Agreement in connection with a merger, acquisition, corporate reorganization, sale of substantially all assets, or similar business transaction.
34. Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.
35. No Waiver
Failure by Developer Network to enforce a provision of this Agreement does not waive the right to enforce that provision later.
36. Entire Agreement
This Agreement, the Terms of Use, Privacy Policy, applicable Project Agreements, and any other terms expressly incorporated into them constitute the agreement between you and Developer Network regarding your membership.
A Project Agreement may contain additional terms governing a specific project.
